1. Purpose and Scope

This Risk Disclosure describes material risks associated with using the Quantalis analytical software platform and with independently acting in financial, digital-asset, commodity, securities or derivative markets.

It must be read together with the Terms and Conditions of Use. This document is a risk disclosure and does not itself constitute investment advice, a recommendation, an offer to transact or a guarantee of any outcome.

2. Nature of Quantalis

Quantalis is a software-based analytical service that processes market data using predefined quantitative, statistical and algorithmic models and delivers standardized Analytical Outputs.

The Service does not provide brokerage, custody, deposits, withdrawals, trade execution, portfolio management, discretionary account management or personalized investment advice. The Company does not receive or transmit User trading orders and does not control User brokerage, exchange or trading accounts.

Analytical Outputs are not adapted to a User’s portfolio, open positions, account balance, financial circumstances, investment objectives, risk tolerance, income, net worth or trading history.

Nothing in this Risk Disclosure is intended to claim or create a regulatory exemption where the actual operation of the Service does not satisfy applicable law.

3. Financial Market and Loss Risk

Financial and digital-asset markets are volatile, uncertain and capable of moving rapidly. Prices may change because of macroeconomic events, geopolitical developments, regulation, liquidity conditions, exchange-specific events, market structure, order-book conditions, news, technical failures or other factors.

Trading or investing may result in partial or complete loss of the amount committed. Leveraged, margined, futures, options or other derivative positions may create losses greater than the amount initially committed, depending on the product, broker, exchange and applicable account terms.

The User is solely responsible for understanding the risks of any market or instrument in which the User independently chooses to participate.

4. Instrument-Specific Risks

4.1 Digital Assets

Digital assets may experience extreme volatility, fragmented liquidity, exchange-specific pricing, custody and cybersecurity risks, forks, outages, delistings, market manipulation, legal restrictions and rapid regulatory change.

4.2 Commodities and Energy Markets

Commodity and energy markets may be affected by weather, storage levels, production, transportation constraints, geopolitical events, government policy, contract specifications, roll effects and sudden changes in supply or demand.

4.3 Securities, Indices and Exchange-Traded Products

Securities, indices and exchange-traded products may be affected by issuer events, market-wide movements, tracking error, liquidity, corporate actions, concentration, trading halts, regulation and other securities-market risks.

4.4 Futures, Options and Other Derivatives

Derivatives may involve leverage, margin calls, expiry, contract roll, basis risk, liquidity risk and rapid losses. A User should understand the relevant contract and broker rules before entering any derivative transaction.

5. Model, Forecast and Statistical Risk

Analytical Outputs are statistical and model-based interpretations of available data. They may be inaccurate, incomplete, delayed or inappropriate for a particular market regime.

Models may perform differently when volatility, liquidity, market structure or relationships between variables change. Historical patterns may fail without warning.

No model, algorithm, confidence measure, directional output, forecast range or statistical estimate can predict future market movements with certainty.

6. Performance Information

No forecast hit rate, touch rate, confidence value, qualified rate, measured performance figure or other statistic constitutes a guarantee of profit, avoidance of loss or future performance.

Unless expressly identified otherwise, Quantalis forecast-performance statistics measure system-generated outputs against subsequent market data under a stated methodology. They do not represent actual trades, actual customer accounts, realized investment returns, brokerage statements or the profitability of a User.

Past performance and prior measured system accuracy do not guarantee future results.

7. Historical, Backtested, Hypothetical and Simulated Results

Historical, backtested, hypothetical or simulated results have inherent limitations. They may benefit from hindsight and may not reflect live execution, liquidity constraints, spreads, fees, slippage, order rejection, market impact, latency, position sizing, human decisions or other real-world factors.

Hypothetical or simulated results do not represent actual trading unless they are expressly identified as actual results supported by appropriate records.

Where applicable law requires a prescribed disclosure to appear with a hypothetical or simulated commodity-interest performance presentation, the Company will display that disclosure prominently with the relevant presentation. This Risk Disclosure is not a substitute for any disclosure that applicable law requires to appear next to the performance presentation itself.

8. Data Source and Exchange Risk

Quantalis relies on exchanges, market-data vendors, public sources, authorized interfaces and other third-party sources. The Company does not control those sources.

Market data may be delayed, incomplete, corrected, revised, interrupted or different across exchanges and venues. A Quantalis output linked to one exchange, market or data source should not be assumed to correspond exactly to another source.

A data error, stale data, timestamp difference or provider outage may affect the Analytical Output.

9. Technical, Latency and Delivery Risk

The Service may be affected by network latency, processing delays, software errors, server outages, maintenance, device limitations, internet failures, cybersecurity events or other technical problems.

Delivery through Telegram, email, web interfaces, APIs or other third-party channels may be delayed, restricted or unavailable. A third-party platform may suspend an account, alter functionality or experience an outage without the Company’s control.

In fast-moving markets, even a short delay may result in a materially different market price or condition from the one reflected in an Analytical Output.

10. No Reliance and Independent Decision-Making

The Service must not be used as the sole or primary basis for a financial or investment decision.

The Company does not assess suitability, appropriateness, legality, tax consequences or the User’s ability to bear risk. The Company does not monitor the User’s independent trades or determine whether a particular transaction is suitable or successful.

The User remains solely responsible for independent research, risk management, position sizing, choice of broker or exchange, execution decisions and compliance with the User’s own legal and tax obligations.

Users who require individualized financial, legal or tax advice should obtain it from an appropriately qualified professional.

11. Regulatory and Jurisdiction Risk

Laws and regulatory requirements relating to digital assets, commodities, futures, securities and analytical or advisory services may change and may differ by jurisdiction.

A product, market, exchange, data source or analytical layer may be restricted, modified or withdrawn in a jurisdiction where additional authorization, registration, disclosure or other measures may be required.

For U.S. commodity-interest products, standardized and non-personalized operation does not remove applicable antifraud or advertising requirements. For securities-related products, separate federal or state securities-law requirements may apply depending on the facts and manner of offering.

12. Third-Party and Counterparty Risk

The Company is not the User’s broker, exchange, custodian, bank or payment provider. Any account, execution, custody, settlement, withdrawal, margin, liquidation or counterparty risk associated with a third party is governed by that third party’s terms and the applicable market rules.

The insolvency, outage, cybersecurity incident, operational failure or regulatory action affecting a third party may cause loss or inability to transact, regardless of the operation of Quantalis.

13. No Guarantee of Performance

The Company does not guarantee, imply or represent that use of the Service will produce profits, prevent losses, achieve a particular trading result or maintain any historical level of forecast performance.

Any decision to trade, invest, hedge or take no action remains the User’s independent decision and risk.

14. Mandatory Rights and Liability

Nothing in this Risk Disclosure excludes or limits liability or rights that cannot lawfully be excluded or limited. Any contractual limitation of liability is governed by the Terms and Conditions of Use and applicable mandatory law.
