1. Application and Definitions

These Terms and Conditions of Use (the “Terms”) govern access to and use of the Quantalis analytical software platform and related digital services (the “Service”) operated by SALAZAR & Co. d.o.o. (the “Company”, “we”, “us” or “our”).

These Terms apply to all Users regardless of the country from which the Service is accessed, subject at all times to mandatory laws that cannot lawfully be excluded or limited.

“User” means any natural or legal person who accesses or uses the Service. “Consumer” means a natural person acting for purposes outside that person’s trade, business, craft or profession. “Subscription” means recurring paid access to a selected Quantalis product, market, exchange, data source or analytical layer. “Analytical Output” means a system-generated analytical representation, forecast, range, directional output, statistical estimate, confidence value or related information produced by Quantalis.

By creating an account, activating a free trial, purchasing a Subscription or otherwise using the Service, the User confirms acceptance of these Terms and of the documents expressly incorporated into the checkout or account flow, including the Privacy Policy, Risk Disclosure, Payment Terms and Card Tokenization & Recurring Payment Consent. Where applicable law requires a separate affirmative consent for a specific matter, acceptance of these Terms does not replace that separate consent.

2. Nature of the Service

Quantalis is a software-based analytical service that processes market data using predefined quantitative, statistical and algorithmic models and delivers standardized Analytical Outputs relating to supported markets and instruments.

The Service does not provide brokerage, custody, deposit or withdrawal services, trade execution, portfolio management, discretionary account management or personalized investment advice. The Company does not receive or transmit User trading orders and does not exercise authority over User brokerage, exchange or trading accounts.

The Company does not assess the suitability, appropriateness, legality or tax consequences of any transaction for a User and does not undertake a fiduciary, advisory or discretionary duty toward the User, except to the extent that a duty cannot lawfully be excluded under applicable mandatory law.

Any reference to “signals” in marketing, user-interface terminology or communications refers only to structured Analytical Outputs of the system and does not mean personalized trading instructions or recommendations.

All decisions made on the basis of information obtained through the Service are made independently by the User and at the User’s own responsibility.

3. Automated, Standardized and Non-Personalized Outputs

Analytical Outputs are generated automatically using predefined models and are not adapted to an individual User’s portfolio, open positions, account balance, financial circumstances, investment objectives, risk tolerance, income, net worth, trading history or other personal characteristics.

Users subscribed to the same Quantalis product and the same relevant market or data source receive the same system-generated Analytical Output, subject only to technical differences in data availability, transmission or delivery timing.

The Company does not direct User accounts and does not modify Analytical Outputs based on a particular User’s positions or personal circumstances. Customer support may explain how the Service and its features work, but does not convert standardized outputs into individualized financial or trading advice.

The Company does not monitor the User’s independent trading or investment decisions, does not evaluate whether those decisions were correct or successful, and does not provide individualized confirmation, interpretation or follow-up advice regarding a particular User’s transaction or position.

4. Market Data, Model Limitations and Performance Information

Market data may be obtained from exchanges, market-data vendors, public sources, authorized interfaces or other third-party providers. Different sources may display different prices, timestamps or market conditions. The Company does not control third-party data sources and cannot guarantee uninterrupted, error-free or perfectly synchronized data availability.

Financial and digital-asset markets are volatile and unpredictable. Analytical Outputs are statistical and model-based interpretations of available data and may be inaccurate, delayed, incomplete or affected by changing market conditions. No model can predict future market movements with certainty.

No forecast, hit rate, touch rate, confidence value, measured performance figure or other statistic constitutes a guarantee of profit, avoidance of loss or future performance.

Unless expressly identified otherwise, Quantalis forecast-performance statistics measure system outputs against subsequent market data under a stated methodology. They do not represent actual trades, actual customer accounts, realized investment returns or brokerage statements.

Historical, backtested, hypothetical or simulated results have inherent limitations and may differ materially from live trading results. Where applicable law requires a specific disclosure to accompany hypothetical or simulated performance, that disclosure will be displayed prominently with the relevant performance presentation and not only in these Terms.

The separate Quantalis Risk Disclosure provides additional information about market, model, technical and operational risks and forms part of the contractual framework where incorporated into the registration, checkout or account flow.

5. Third-Party Platforms and Service Availability

The Service may be delivered through Telegram, web interfaces, email, APIs where available, or other electronic channels. Third-party platforms are operated independently and may experience outages, restrictions, delays, policy changes or account limitations outside the Company’s control.

The Company may temporarily suspend or limit all or part of the Service for maintenance, security, provider outages, data interruptions or other legitimate operational reasons.

Certain products, markets, instruments, exchanges, data sources or analytical layers may be unavailable or restricted in a particular jurisdiction where the Company determines that additional legal, licensing, registration or regulatory requirements may apply. Contract language alone does not create a regulatory exemption where the factual operation of the Service does not satisfy applicable law.

6. Account Registration and Electronic Contracting

A natural-person User must be at least 18 years old and have legal capacity to enter into a binding agreement. A person acting on behalf of a legal entity represents that the person has authority to bind that entity.

Before activation, the User is given the opportunity to review and correct the information entered in the registration and checkout flow. The User selects the relevant product or Subscription, reviews the applicable price and billing information, accepts the required legal documents and consents, and completes the applicable payment-method verification or payment step.

The contract is concluded when the Company confirms activation of the free trial or paid Subscription. The Company will provide the User with confirmation of the contract and material Subscription information on a durable medium where required by applicable law.

The User is responsible for providing accurate account, contact and billing information, keeping that information reasonably up to date, safeguarding account credentials and promptly notifying the Company of suspected unauthorized account access.

7. Pricing, Free Trial and Recurring Billing

The current price, billing frequency, applicable taxes, selected product, free-trial duration, free-trial start and end, first billing date and cancellation information are displayed before activation. The price displayed and accepted during checkout applies to the selected Subscription.

The standard promotional free trial is seven (7) days unless a different duration is clearly displayed before activation. No Subscription fee is charged during the free-trial period. A valid payment method may be required for verification, tokenization and setup of future recurring payments. A card issuer or payment provider may display a temporary authorization or verification according to its own processing rules.

Unless clearly stated otherwise before activation, a free trial automatically converts into the selected paid recurring Subscription after the free-trial period unless the User cancels before the first billing date.

Paid Subscriptions renew automatically at the billing frequency displayed before activation until cancelled. Recurring charges are initiated only on the basis of the User’s affirmative authorization in the payment flow.

Where applicable law imposes additional automatic-renewal or negative-option requirements, including additional disclosures, affirmative consent, acknowledgments, reminders, record-retention obligations, price-change notices or specific cancellation methods, those mandatory requirements apply.

Payment-card data are entered and processed through the secure environment of an authorized payment service provider. The Company does not store the User’s full payment-card number or CVV on its own systems.

The User is responsible for maintaining a valid payment method for an active paid Subscription. A declined, failed, reversed or expired payment may result in payment retries, suspension or restriction of access after any notice required by applicable law. The Company or its payment service provider may require reasonable additional payment-method or identity verification where necessary for fraud prevention, payment security or lawful processing.

8. Free Trial Limitation and Anti-Abuse

Unless the Company expressly offers otherwise, each User is entitled to one free trial only across the entire Quantalis platform, for one selected product.

Once a User has activated or used a free trial, changing the selected product, market, instrument, exchange, data source, analytical layer, user account, email address, mobile phone number or payment method does not create a right to an additional free trial where the Company reasonably determines that the same User has already used a free trial.

The Company may use reasonable technical and procedural measures to prevent misuse or repeated activation of the free trial, including available account, email, mobile-phone and limited payment-method identifiers such as a token or card fingerprint provided by the payment service provider, in accordance with the Privacy Policy and applicable data-protection law.

If the Company determines that a free trial has already been used, it may deny an additional free trial and offer a separate paid-subscription activation. The Company will not charge a User solely because an additional free trial was denied unless the User separately confirms a paid Subscription.

9. Cancellation of Subscription

The User may cancel a Subscription at any time through the cancellation function made available in the User account or through another cancellation method provided by the Company.

Cancellation stops future recurring Subscription charges. Unless mandatory law or a more favorable offer provides otherwise, access to a paid Subscription remains available until the end of the current paid billing period.

If the User cancels a free trial before the first billing date, the free trial will not convert into a paid Subscription and no recurring Subscription fee will be charged.

Where applicable law requires cancellation to be available through the same or an equally simple medium as the method used to subscribe, the Company will provide that cancellation method.

10. Statutory Withdrawal Rights and Refunds

Ordinary Subscription cancellation and statutory withdrawal are separate rights. Cancellation stops future renewals. A statutory right of withdrawal may apply for a limited period where mandatory consumer law grants such a right.

10.1 Statutory Withdrawal Period

Where mandatory consumer law grants a statutory right to withdraw from a distance service contract, including the 14-day withdrawal right applicable to qualifying consumers in the European Union and European Economic Area, the Consumer may exercise that right within the applicable statutory period without giving a reason, subject to the conditions and exceptions established by mandatory law.

10.2 Immediate Start of the Service

A Consumer who wants access to Quantalis to begin immediately may be asked to make a separate express request for performance of the Service to begin before the statutory withdrawal period expires.

The beginning of the Service during the withdrawal period does not, by itself, automatically eliminate a statutory withdrawal right. If a Consumer validly withdraws after performance has begun at the Consumer’s express request, the Consumer may be required to pay an amount proportionate to the Service provided up to the time of withdrawal, but only to the extent permitted by mandatory law and only where the required information and consent requirements have been satisfied.

10.3 Online Withdrawal Function

Where applicable law requires an online withdrawal function for a distance contract concluded through an online interface, the Company will make that function easily accessible during the statutory withdrawal period. After the Consumer submits the withdrawal statement, the Company will send an acknowledgment on a durable medium without undue delay, including the content of the request and the date and time of submission where required by law.

10.4 Effect of Withdrawal and Refunds

Following a valid statutory withdrawal, future recurring charges will be stopped and access may be disabled. Any refund and any permitted proportionate charge for Service already provided will be handled in accordance with mandatory law. Where no payment has been charged during a free trial, there may be no amount to refund.

Except where these Terms, a specific offer or mandatory law provides otherwise, amounts validly charged for a current Subscription period are non-refundable after that period begins. This does not limit any non-waivable right to a refund, statutory withdrawal remedy, charge reversal or other consumer remedy under applicable law.

11. License, Professional Use and Prohibited Sharing

During an active free trial or Subscription, the Company grants the User a limited, non-exclusive, non-transferable and revocable right to access and use the Service for the User’s own lawful internal purposes.

Professional or institutional access, API access, redistribution, integration into third-party commercial products or other business use may be subject to separate written commercial terms.

Without the Company’s prior written permission, the User must not share, forward, publicly display, reproduce, rebroadcast, resell, sublicense or commercially redistribute Analytical Outputs; circumvent access controls; scrape or mass-extract content; or reverse engineer protected software or systems.

12. Intellectual Property

Software, algorithms, models, methodologies, databases, interfaces, documentation, formats, visualizations and other proprietary elements of the Service are owned by or licensed to the Company and are protected by applicable intellectual-property law.

No ownership right is transferred to the User. Only the limited right of access and use expressly granted by these Terms is provided.

13. Suspension and Termination

The Company may refuse, suspend or terminate access where it reasonably believes that the User has engaged in fraud, payment abuse, unlawful activity, sanctions evasion, unauthorized sharing, circumvention of technical or security controls, misuse of the Service or a material breach of these Terms.

Termination for breach does not create a right to a refund of amounts validly earned by the Company, except where mandatory law requires otherwise.

14. Liability and Warranties

The Service is provided “as is” and “as available” to the maximum extent permitted by applicable law. The Company does not guarantee uninterrupted availability, error-free operation, accuracy in every market condition, suitability for a particular trading strategy or any particular financial outcome.

To the fullest extent permitted by applicable law, the Company is not liable for indirect, incidental, special, consequential or purely economic losses arising from the use of or reliance on the Service, including loss of profit, expected earnings or opportunity, or losses caused by independent third-party platforms, data providers, exchanges, payment providers or communication services.

Nothing in these Terms excludes or limits liability or consumer rights that cannot lawfully be excluded or limited. Where a jurisdiction does not permit a particular exclusion or limitation, that exclusion or limitation applies only to the maximum extent permitted by law.

15. Privacy and Payment Data

Personal data are processed in accordance with the Quantalis Privacy Policy and applicable data-protection law. Payment-related processing and card tokenization are governed by the Payment Terms and Card Tokenization & Recurring Payment Consent, together with the payment provider’s own terms and privacy information where applicable.

16. Regulatory Compliance and User Responsibility

The User is responsible for ensuring that the User’s access to and use of the Service is lawful in the User’s jurisdiction and for complying with laws, rules, tax obligations and regulatory requirements applicable to the User’s own market activity or transactions.

The Company does not provide legal, tax or regulatory advice and does not verify whether a User is legally or professionally eligible to trade, invest or participate in a particular market. If use of the Service is prohibited or restricted for the User in a particular jurisdiction, the User must not use the Service in violation of that restriction.

The Company may restrict, suspend or decline access to a product, market, instrument, exchange, data source or analytical layer in a jurisdiction where the Company reasonably determines that distribution or use may require additional authorization, registration, disclosure or other regulatory measures. No disclaimer or description in these Terms creates a regulatory exemption where applicable law does not provide one.

17. Complaints and Customer Contact

Written complaints may be submitted by email to support@quantissoftwaresolution.com or by post to SALAZAR & Co. d.o.o., Radnička cesta 80, 10000 Zagreb, Croatia.

The Company will acknowledge receipt of a written complaint without undue delay and will respond within the mandatory period prescribed by applicable law. Where Croatian consumer law applies, the Company will provide a written response within 15 days of receiving the complaint.

18. Changes to the Service, Prices and Terms

The Company may change the Service, products, prices, Subscription conditions or these Terms where reasonably necessary for legal, regulatory, security, operational or commercial reasons.

Where a change materially affects an active Subscription, recurring price or Consumer rights, the Company will provide advance notice and cancellation information to the extent required by applicable law. Where affirmative consent is legally required, continued use alone will not replace that consent.

19. Governing Law and Mandatory Consumer Rights

These Terms are governed by the laws of the Republic of Croatia, without prejudice to mandatory consumer-protection rules that apply to a Consumer under the law of the Consumer’s country, state or place of habitual residence.

Nothing in these Terms excludes, limits or waives a Consumer right or remedy that cannot lawfully be excluded, limited or waived. Where mandatory local law provides greater protection than these Terms, the mandatory local law prevails to the extent of the conflict.

Disputes shall be subject to the competent courts determined under applicable law. Nothing in these Terms deprives a Consumer of a mandatory right to bring a claim before a court or other body that has jurisdiction under applicable consumer law.

20. Final Provisions

If any provision of these Terms is held invalid, unlawful or unenforceable, that provision will be limited or replaced to the minimum extent necessary and the remaining provisions will remain in force.

Failure by the Company to enforce a provision immediately does not constitute a waiver of the right to enforce it later.

Electronic confirmations, notices and records may be used to the extent permitted by applicable law.

These Terms, together with the legal documents expressly incorporated into the registration, checkout or account flow, constitute the entire agreement between the Company and the User concerning the Service and supersede prior statements or understandings concerning the same subject matter, except for any separate written commercial agreement expressly accepted by both parties and any mandatory rights that cannot lawfully be excluded or limited.
